The right capital, on the right terms

Raising capital is not only a question of how much. The investor or lender you choose will sit beside you for years, and the covenants, rights, and repayment schedule you accept will govern the freedom your company enjoys throughout that period.

We begin by asking what the capital must achieve. Funding a new facility, an acquisition, a shareholder buyout, or a refinancing each calls for a different structure, and the right answer depends on the stability of your cash flow and how much ownership you are prepared to share.

Once the purpose is settled, we prepare the company’s case, identify the funds and lenders whose criteria genuinely match, and run a process that brings several of them to the table at once. Competition remains the most reliable way to improve both price and terms.

Our clients range from profitable, founder-led businesses taking outside capital for the first time to sponsor-owned companies rebuilding their entire capital structure.

Who we work with

Private businesses of substance, their shareholders, and the acquirers they partner with.

Businesses with a growth plan

You see a clear opportunity to expand and need patient capital to pursue it without straining the balance sheet.

Shareholders seeking liquidity

You want to realize part of your investment or buy out a partner while keeping the company independent.

Acquirers needing certainty

You have an acquisition in view and need committed funding before you sign a letter of intent.

Capital we arrange

Each form of capital carries its own price, obligations, and expectations. We help you choose well, then run the raise.

Minority growth equity

An investor acquires a non-controlling stake and provides capital for expansion. Valuation matters, but so do board representation, consent rights, and the investor’s expected timing for an exit, all of which we negotiate on your behalf.

Suited to: profitable, growing companies whose owners want a partner without giving up control.

Majority equity

A private equity firm takes a controlling interest, often alongside founders and managers who reinvest part of their proceeds. We compare sponsors on value, strategy, and how they have treated the teams they back.

Suited to: owners ready to share control in exchange for a larger payout and a well-capitalized partner.

Senior bank debt

Term loans and revolving lines at the lowest cost available in the market. We approach several banks, so interest rates, covenants, and reporting obligations are all tested competitively.

Suited to: businesses with predictable cash flow and moderate borrowing needs.

Private credit and mezzanine

Unitranche, second-lien, and subordinated loans from non-bank funds that can lend more and move faster. We set out the full cost, including fees and any warrants, so you can weigh it fairly against equity.

Suited to: borrowers whose needs exceed what a conventional bank will lend.

Acquisition finance

Debt and equity committed alongside an acquisition, so your offer is credible and the deal closes on time. Funding commitments and the purchase contract are drafted in step from the outset.

Suited to: acquirers with a named target, or sponsors building a platform through add-ons.

Refinancing and restructuring

Replacing loans that have become costly, restrictive, or close to maturity, or resetting the capital structure after a period of change. We canvass the lending market widely and secure terms that give management breathing space again.

Suited to: businesses that have outgrown, or been constrained by, their current lending.

The course of a raise

Most raises are funded three to six months after we begin. Each stage, with its timing and what we will ask of you, is set out below.

  1. Purpose and structureWeeks 1 to 3

We agree on what the capital must achieve, how much is needed, and the mix of equity and debt that suits your cash flow and your appetite for sharing control.

From you: your business plan, current financials, and a candid view of the ownership you are willing to share.

  2. MaterialsWeeks 3 to 8

We build a detailed financial model and write the investor or lender presentation, anticipating the questions each audience will ask and preparing the answers in advance.

From you: time with management, access to records, and comments on our drafts.

  3. Market approachMonths 2 to 4

A targeted list of funds and lenders is contacted under confidentiality. We schedule meetings, field questions, and keep every party working to the same timetable.

From you: availability for presentations and site visits, with rehearsals arranged beforehand.

  4. OffersMonths 3 to 5

Term sheets are weighed on cost, structure, covenants, governance, and certainty of closing. The best proposals are pressed to improve before you choose your partner.

From you: decisions on the balance you want between price, flexibility, and control.

  5. FundingMonths 4 to 6

Confirmatory diligence, loan or subscription documents, and closing. Your lawyers, auditors, and our team work to a single closing calendar so the money lands on the date it is needed.

From you: quick responses during diligence and approval of the final terms.

Questions from companies

Is borrowing or selling shares the better route for us?

Debt is cheaper and leaves ownership untouched, but it must be repaid and comes with covenants. Equity carries no repayment schedule but dilutes ownership and brings a partner with rights of its own. The right mix depends on your cash flow, plans, and priorities, and we set out each scenario in figures before you commit.

How much capital can we realistically raise?

Lenders size debt mainly on earnings and cash flow, while equity investors size their commitment around your plan and the valuation they will support. We establish a realistic range before any outreach, so expectations are grounded from the start.

Will an investor take control of the company?

Only if you choose a majority transaction. Minority investors take a non-controlling stake, and lenders take no ownership at all. In every case, board seats, voting thresholds, and consent rights are negotiated with the same care as price.

Is private credit worth the higher cost?

Sometimes. It can provide more capital, faster execution, and lighter covenants than a bank. Whether that justifies the premium depends on what the money will achieve, and we lay out the all-in cost so the comparison is fair.

How long will the process take?

A straightforward bank facility often funds within about twelve weeks. Equity, private credit, and layered structures more commonly need four to six months. Thorough preparation is the best protection against delay.

What will investors and lenders want to see?

Dependable accounts, a forecast that holds up to scrutiny, leadership with a record of delivery, and a plain account of where the money will go and how it will be repaid or rewarded. We help strengthen each of these before the market sees them.

Should our existing bank be invited?

In most cases, yes. A relationship lender knows your history, and seeing credible rival proposals frequently encourages it to improve its own offer.

How is your fee for a raise set?

A small monthly fee covers preparation, and the balance is a percentage of the capital raised, payable only once funds are received. Every term is agreed and signed before we start, and an exploratory meeting costs nothing.
